In addition, we offer the following legal services on a negotiated flat-fee basis:

·        Business Formation of For Profit Entities. PMD Legal will draft and file a new company's Articles, draft the company's Bylaws or Operating Agreement, draft the shareholder agreement, prepare the company's corporate record book, prepare stock subscription agreements and stock certificates, obtain the company's EIN, conduct a legal review of the company's business plan, draft employment agreements, draft confidentiality agreements and provide general business advice.

·        Business Formation of Nonprofit Entities . PMD Legal will draft and file the organization's Articles and Bylaws, obtain the organization's EIN, prepare and file the applicable IRS Forms to obtain tax-exempt status and prepare the organization's corporate record book.

·        Transactional Due Diligence. PMD Legal will conduct all legal due diligence in connection with acquiring, merging or selling a business and prepare summaries of the legal due diligence for management that assess the transaction's risks and liabilities.

·        Capital Raising. PMD Legal will provide all legal services necessary for a private offering including drafting the private placement memorandum, drafting the subscription documents and investor questionnaires, conducting the legal blue sky research, and preparing the blue sky filings and Reg D filings.

·        M&A Transactions. PMD Legal will provide all legal services throughout the entire M&A process from the letter of intent to the closing based on a negotiated flat fee.

·        SEC Compliance. PMD Legal will review and comment on and/or draft periodic reports filed with the SEC, assist in all securities law matters and conduct any securities law research for a flat quarterly fee.
